Terms of Service

The German version of this page is legally binding; this English version is provided for convenience.

These terms govern your use of AgentFactory, operated by ultrabold Kommunikationsdesign GmbH, G7, 4p, 68159 Mannheim, Germany ("AgentFactory", "we", "us"). By creating an account or otherwise using the service you accept these terms.

1. Eligibility

You must be at least 16 years old to use AgentFactory. If you are using the service on behalf of an organisation, you confirm you have authority to bind that organisation to these terms.

2. Account

You are responsible for the credentials on your account. Don't share your password, and notify us promptly if you suspect unauthorised access. We may suspend or close accounts that violate these terms or expose other users to risk.

3. What the service does

AgentFactory lets you configure AI "agents" backed by third-party models (text, image, video), run them interactively or on a schedule, attach reference files, and generate one-shot media via the Studio surface. We route requests through model providers via OpenRouter; see our Privacy Policy for the subprocessor list.

4. Acceptable use

You agree not to use AgentFactory to:

• Generate content that is illegal in your jurisdiction or the operator's (Germany / EU).
• Produce content depicting minors in a sexual context, or non-consensual sexual imagery of real persons.
• Generate content intended to deceive, defraud, or impersonate identifiable individuals or organisations.
• Build tools whose purpose is to harass, dox, stalk, threaten, or harm.
• Attempt to bypass rate limits, credit accounting, or any technical safeguard.
• Scrape, reverse-engineer, or extract our platform code or model outputs at scale for resale.
• Submit content infringing third-party intellectual property or privacy rights.

We may remove content or suspend accounts that we reasonably believe violate the above. Where the law requires us to retain or surrender such content (court order, regulatory request) we will comply.

5. AI output and accuracy

AI models can be wrong, biased, or out of date. Output from any agent or Studio run is generated programmatically without human review and is provided "as-is". You are responsible for verifying any output before using it in a context where accuracy matters — medical, legal, financial, safety-critical, or any use that could affect a real person's wellbeing.

6. Intellectual property

What you bring

You retain all rights in the prompts you submit and files you upload. By using the service you grant us a limited licence to process that content as needed to provide the service — store, retrieve, forward to model providers, generate outputs.

What you generate

Subject to model providers' own policies and to applicable law, you may use generated text, images, and video for any lawful purpose. Note that AI-generated output may not qualify for copyright protection in many jurisdictions; you bear the risk that similar output may be produced for other users.

Our platform

The AgentFactory platform — code, design, brand, accompanying documentation — is owned by ultrabold Kommunikationsdesign GmbH. Nothing in these terms transfers ownership.

7. Credits, billing and refunds

• Use of the service is paid via prepaid credits denominated in USD. You can top up at any time via Stripe Checkout; we never see your card details.
• Every successful AI run debits the actual cost charged by the underlying provider, plus any safety buffer; failed runs are refunded automatically to your credit balance.
• Purchased credits are non-refundable; all sales are final once the statutory right of withdrawal has expired (section 8). Automatic re-credits for failed runs (above) are unaffected.
• We may change pricing or the credit-to-cost ratio with 30 days' notice; existing credits keep their face value.
• During beta, top-up availability and limits may change at short notice.

8. Right of withdrawal for consumers (Widerrufsrecht)

If you are a consumer (§ 13 BGB), you have a statutory right to withdraw from a credit top-up within 14 days. However, during checkout you expressly consent to the credits being made available immediately and acknowledge that your right of withdrawal expires once they are delivered (§ 356 BGB). In practice this means your credits are usable the moment payment completes, and a completed top-up cannot be reversed.

If you complete a top-up without giving that consent, you may withdraw within 14 days by an unambiguous statement to welcome@ultrabold.com, and we will refund the payment within 14 days using the same payment method, less the value of any runs already performed. [Lawyer: confirm digital-content vs digital-service classification (drives whether expiry occurs on delivery or on full consumption), finalize the statutory withdrawal instruction, and sign off the checkout consent step.]

9. Service availability

We try hard to keep AgentFactory available but make no uptime guarantee. Scheduled maintenance, provider outages (OpenRouter, Stripe, Mailgun, model providers), or other circumstances may cause interruptions. Where a paid run fails because of an outage, your credit is refunded automatically.

10. Termination

You may close your account at any time from the settings area. On closure, your account data is soft-deleted and purged within 30 days, except where retention is required by law (typically billing records). We may terminate accounts that violate these terms or threaten the operation of the service; where possible we will give you reasonable notice and the opportunity to remedy.

11. Liability

To the maximum extent permitted by law, AgentFactory is liable only for damages caused by intent or gross negligence. For damages caused by ordinary negligence, our liability is limited to foreseeable damage typical for the type of contract and shall not exceed the fees you paid us in the 12 months preceding the event giving rise to the claim. Liability for personal injury and under the German Product Liability Act remains unaffected.

We are not liable for the accuracy, completeness, or any consequence of AI-generated output, nor for actions taken by third-party model providers.

12. Governing law

These terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer-protection provisions of your country of residence remain unaffected.

For consumers, the exclusive place of jurisdiction is the courts at your domicile or our registered office, at your choice. For merchants (Kaufleute) in the sense of the HGB, the place of jurisdiction is Mannheim, Germany.

13. Consumer dispute resolution (§ 36 VSBG)

We are not obliged nor willing to participate in dispute-resolution proceedings before a consumer arbitration board.

14. Changes to these terms

We may revise these terms when the service changes materially or to reflect changes in the law. We'll post the new version here with a fresh "Last updated" date and, where the change is significant, notify you by email at least 30 days before it takes effect. Continuing to use the service after that date constitutes acceptance.
